Terms of Service

Acceptance

These Terms of Service ("Terms") form a legally binding agreement between you and Twin Palm ("we", "us", "our"), the operator of PalmFlow (palmflow.app). By creating an account, accessing, or using any part of the Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference.

If you are using PalmFlow on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms, and references to "you" include both you personally and that entity.

If you do not agree to these Terms, you must not access or use PalmFlow.

Eligibility

You must be at least 16 years old to use PalmFlow. By using the Service, you represent that:

  • You are at least 16 years of age
  • You have the legal capacity to enter into a binding contract
  • Your use of the Service complies with all laws applicable to you
  • You have not been previously suspended or removed from PalmFlow

Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must:

  • Provide accurate and complete information when registering
  • Keep your account information up to date
  • Notify us immediately at support@palmflow.app if you suspect unauthorized access
  • Not share your login credentials with anyone else
  • Not create accounts by automated means or under false pretences

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

Subscription & Billing

Plans and Pricing

PalmFlow is offered on a subscription basis. Current pricing, plan features, and billing intervals are described on the Pricing page. We reserve the right to change pricing with 30 days' notice to active subscribers.

Billing and Payment

  • Subscriptions are billed in advance on a monthly or annual basis, depending on your plan
  • Payment is processed by a third-party provider (e.g. Stripe). By providing payment details, you authorize us to charge your payment method on a recurring basis
  • All prices are exclusive of applicable taxes, which will be added where required by law
  • Failed payments may result in suspension of your account

Free Trial

Where a free trial is offered, it will be described at sign-up. At the end of the trial, your account will automatically convert to a paid subscription unless you cancel before the trial ends.

Cancelation and Refunds

  • You may cancel your subscription at any time through your account settings
  • Cancelation takes effect at the end of the current billing period — you retain access until then
  • We do not offer pro-rata refunds for partial periods, except where required by applicable law
  • To request a refund in exceptional circumstances, contact billing@palmflow.app

Acceptable Use

You agree not to use PalmFlow to:

  • Violate any applicable law, regulation, or third-party rights
  • Upload or transmit malicious code, malware, or harmful content
  • Attempt to gain unauthorized access to the Service or its underlying systems
  • Reverse engineer, decompile, or extract the source code of the Service
  • Scrape, crawl, or systematically extract data from the Service without written permission
  • Use the Service to facilitate fraud, misrepresentation, or any unlawful activity
  • Resell, sublicense, or white-label the Service without our prior written consent
  • Overload or interfere with the infrastructure of the Service
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity

We reserve the right to investigate suspected violations and to suspend or terminate accounts that we determine, in our sole discretion, to be in breach of this section.

Third-Party Integrations

PalmFlow connects with third-party marketplace platforms (such as eBay, Etsy, Amazon, Shopify, Depop, StockX, GOAT, Vinted, Poshmark, and Mercari) at your direction.

  • You are responsible for ensuring your use of connected platforms complies with their respective terms of service
  • We are not responsible for the actions, data, policies, or availability of any third-party platform
  • Third-party platforms may change their APIs or access policies at any time, which may affect certain features of PalmFlow
  • PalmFlow is not affiliated with, endorsed by, or sponsored by any third-party platform

Intellectual Property

Our IP

PalmFlow and all its content, features, and functionality — including the software, design, trademarks, and branding — are owned by Twin Palm or its licensors and are protected by copyright, trademark, and other applicable intellectual property laws. You may not copy, reproduce, or create derivative works from any part of the Service without our explicit written consent.

Your Content

You retain ownership of all data and content you upload to PalmFlow ("Your Content"). By uploading Your Content, you grant us a limited, non-exclusive, royalty-free license to store, process, and display it solely for the purpose of providing the Service to you. We do not claim ownership of Your Content and will not use it for any other purpose.

Your Data

Your data is yours. We process it only to deliver the Service, as described in our Privacy Policy. You can export your data at any time from your account settings. Upon account deletion, we will delete your data within 90 days, subject to retention obligations imposed by law.

Disclaimers

PalmFlow is provided "as is" and "as available" without warranties of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free
  • Data imported from third-party platforms will be accurate or complete
  • Any errors in the Service will be corrected
  • Results obtained from the Service (such as profit calculations) are accurate or should be relied upon for financial, tax, or legal decisions

PalmFlow is a management tool and not a substitute for professional accounting, tax, or legal advice. Always consult qualified professionals for such matters.

Limitation of Liability

To the maximum extent permitted by applicable law, Twin Palm and its directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, goodwill, or business opportunities — arising out of or in connection with your use of (or inability to use) the Service, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising under or in connection with these Terms shall not exceed the greater of: (a) the amount you paid to us in the 12 months immediately preceding the event giving rise to the claim, or (b) £10000.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited by law.

Indemnification

You agree to indemnify, defend, and hold harmless Twin Palm and its affiliates, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party right, including intellectual property or privacy rights.

Termination

By You

You may close your account at any time through your account settings. Closing your account cancels any active subscription at the end of the current billing period.

By Us

We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have violated these Terms, if required by law, or if we decide to discontinue the Service. Where possible, we will provide reasonable advance notice.

Effect of Termination

Upon termination, your right to access the Service ceases immediately. Provisions of these Terms that by their nature should survive termination will do so, including Intellectual Property, Disclaimers, Limitation of Liability, and Governing Law.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California, except where mandatory local law requires otherwise.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Changes

We may update these Terms from time to time. We will notify you of material changes by email and by updating the "Last updated" date above. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the new Terms. If you do not agree, you should stop using the Service and cancel your subscription.
